Theron's production shingle Denver and Delilah will produce with Film Engine and Infinity Features.
Bill Maher will make his feature directing debut on a script by Zac Stanford ("The Chumscrubber"). Shooting begins in Canada in November.
Drama follows an 11-year-old girl's struggle to come to terms with her mother's abandonment.
Pic is being financed by Film Engine, which made a large equity investment in the picture and arranged the rest through Bank of Ireland and NewBridge Film Capital. Latter is the gap financing fund run by the Merrill Lynch Global Asset-based Finance Group and Rizvi Traverse Management. ICM is representing North American rights on the film, while Icon Entertainment Intl. will sell overseas rights at AFM.
Theron will produce with A.J. Dix, J.J. Harris, Beth Kono, Anthony Rhulen and Rob Merilees. Justin Moore-Lewy, Charlie Mason. Michael Stirling and Bill Shively are exec producers.
