Studio picked up the Eidos vidgame franchise in June from producers Chuck Gordon and Adrian Askarieh. Diesel will exec produce and Daniel Alter will serve in a producing capacity.
The story centers on an international assassin, known as Agent 47, who works for a mysterious org dubbed the Agency.
Woods, who is getting mid-six figures for the adaptation, wrote and directed indie pic "Thursday" and worked on remake "Logan's Run" at Warner Bros.
Fox is looking at "Hitman" as a potential franchise. Studio and Universal also are developing Microsoft's megahit vidgame "Halo" and recently brought on Peter Jackson to exec produce.
Fox prexy of production Hutch Parker and exec VP Alex Young are overseeing.
First three games in the "Hitman" franchise have sold more than 5 million units.
Financially troubled Eidos, which was recently acquired by Sci Games, is working on another sequel, "Hitman: Blood Money." Originally scheduled for the middle of this year, it has been pushed back to the winter.
