TWE registers $ 1.2 bil

Time Warner Entertainment Co. L.P. has filed the registration for $ 1.2 billion in senior notes already in the hands of investors.

TWE, a joint venture between Time Warner Inc., C. Itoh & Co. Ltd. and Toshiba Corp. formed last year, raised the funds last April and earlier this month from institutional investors in a so-called private placement.

Merrill Lynch was the lead manager, Salomon Bros. co-manager, of the notes.
